Terms of Service

These Terms of Service ("Terms") govern Your access to and use of the veriCue website at www.vericue.dev and any related services, documentation, and software made available by veriCue (the "Service"). By accessing the Service, You agree to be bound by these Terms.
1. Definitions
- "Company", "We", "Us", "Our" refers to veriCue, Łódzka 62/63, 80-180 Gdańsk, Poland.
- "You", "Your" refers to the individual or legal entity accessing or using the Service.
- "Software" refers to the veriCue test automation framework, including the embedded server, client libraries, command-line tools, and supporting utilities, distributed in binary, source-code, or hosted form.
- "Licence" refers to the trial, paid, or other licence granted by Us authorising Your use of the Software, as defined in a licence key file, floating licence server configuration, order form, or written agreement between You and Us.
- "Concurrent Automation Session": One concurrent automation session is one active test-client connection to a veriCue server instance. The number of developers who can write or maintain test code is not limited by the license.
- "Order Form" refers to the ordering document (or online order confirmation) agreed between You and Us that specifies the plan, the number of Concurrent Automation Sessions, fees, and the Licence Period.
- "Licence Period" refers to the period during which Your Licence is valid, as described in Section 6.
- "Website" refers to vericue.dev and all its subdomains.
2. Acceptance of Terms
By accessing the Website, downloading the Software, or otherwise using the Service, You confirm that You have read, understood, and agree to be bound by these Terms. If You do not agree, You must not use the Service.
If You are using the Service on behalf of an organisation, You represent that You have the authority to bind that organisation to these Terms, and "You" refers to that organisation.
3. Eligibility
You must be at least 16 years old and capable of forming a legally binding contract to use the Service. The Service is intended for commercial and professional use; it is not directed at children.
4. Software Licence
4.1 Grant
Subject to Your compliance with these Terms and the conditions of Your Licence, We grant You a non-exclusive, non-transferable, non-sublicensable, revocable right to install and use the Software for the number of Concurrent Automation Sessions and for the Licence Period specified in Your Licence or Order Form.
4.2 Licensing Model
Licences are granted per organisation, never per developer or per named user. A Licence is delivered either as a signed licence key file (node-locked) or through a self-hosted floating licence server operated within Your network. The only metered quantity is the number of Concurrent Automation Sessions; any number of developers within Your organisation may write, maintain, and review test code under a single Licence.
4.3 Trial Licences
If You receive a trial Licence, the Software may be used solely for the purpose of evaluating its functionality for a limited time (30 days from issuance, unless specified otherwise) with 1 Concurrent Automation Session. Trial Licences are provided free of charge and "as is", and may be revoked at any time at Our discretion.
4.4 Restrictions
You shall not:
- copy, modify, distribute, sell, sublicense, lease, or rent the Software, in whole or in part, except as expressly permitted by these Terms;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
- remove, obscure, or alter any proprietary notices, labels, or marks on the Software;
- use the Software to develop a competing product or service;
- circumvent or attempt to circumvent any technical protection measures, including Licence verification mechanisms;
- use the Software in any manner that violates applicable law or the rights of any third party.
4.5 Ownership
The Software, including all intellectual property rights therein, is and shall remain Our exclusive property. These Terms do not transfer any ownership of the Software to You. All rights not expressly granted to You are reserved.
5. Plans and Pricing
5.1 Plans
The Software is offered under the following plans. The applicable plan, quantities, and fees for Your Licence are stated in Your Order Form.

All plans are licensed per organisation as described in Section 4.2. Pricing is based solely on the number of Concurrent Automation Sessions, the plan term, and the support level; it is never based on the number of developers or users.
5.2 Prices Are Net; Taxes
All prices are stated net in EUR and exclude VAT and any other applicable taxes, duties, or levies. VAT and other taxes are added to invoices as required by the customer's location and tax status. Where You are required by law to withhold taxes, You shall gross up payments so that We receive the full invoiced amount.
5.3 Price Changes
We may change list prices from time to time. Price changes do not affect the current Licence Period; new prices apply only from the next renewal and will be communicated before renewal is confirmed.
6. Licence Period, Renewal, and Expiry
6.1 Licence Period
The Licence Period starts on the date stated in the Order Form or, if no date is stated, on the date the licence key is issued. The Licence Period ends on the expiry date encoded in the licence key (or, for floating licences, the expiry date configured in the licence server).
6.2 Renewal by Mutual Confirmation
Licences do not renew automatically or silently. Renewal takes place only by mutual confirmation between You and Us before the end of the current Licence Period, at which point a new licence key (or updated floating licence) is issued for the renewal period. We aim to send a renewal reminder approximately 30 days before expiry, but the absence of a reminder does not extend the Licence Period.
6.3 Effect of Non-Renewal or Expiry
If the Licence is not renewed, then after the expiry date the veriCue automation interface stops accepting commands. Your application itself is unaffected: the expired Licence does not degrade, disable, or otherwise interfere with the operation of Your application. You retain all test code, test scripts, and test assets previously generated or written using the Software, and You may continue to keep and maintain that code; it simply cannot be executed against the veriCue automation interface without a valid Licence.
6.4 Declining Renewal; No Refunds for the Current Period
You may decline renewal at any time before the next Licence Period begins, at no charge; no cancellation fees apply to declining renewal. Fees for the current Licence Period are non-refundable, except where a refund is required by applicable law or expressly agreed in writing.
7. Additional Concurrent Automation Sessions
Additional Concurrent Automation Sessions may be purchased beyond those included in Your plan at EUR 450 net per session per year. Additional sessions are coterminous with the base Licence: they share the same expiry date as the base Licence, regardless of when they are purchased. For purchases made mid-term, the fee may be prorated for the remainder of the current Licence Period as stated in the Order Form.
8. Professional Services: Implementation Sprint
8.1 Nature of the Service
The Implementation Sprint (EUR 1,500 net, one-time) is a separate professional service and is not a Licence. It does not grant, extend, or modify any rights to use the Software; a valid Licence is required separately.
8.2 Scope
Unless otherwise agreed in the Order Form, the Implementation Sprint includes:
- setup for 1 Qt application;
- in 1 agreed environment (operating system and toolchain);
- up to 3 test scenarios implemented;
- 1 CI pipeline integration;
- 1 revision round;
- a handover document.
8.3 Exclusions
The following are outside the scope of the Implementation Sprint and, where requested, are quoted separately:
- more than 3 test scenarios;
- multiple operating systems or environments;
- extensive custom controls;
- rework of the application's architecture;
- unlimited support;
- additional CI pipelines;
- maintenance of tests after handover.
9. Customer Obligations for Services
For any professional services (including the Implementation Sprint), You shall provide in a timely manner:
- access to the application and the agreed environment;
- availability of technical contacts able to answer questions and grant access;
- any required data, credentials, builds, or other artifacts.
Delays caused by You (including delayed access, unavailable contacts, or missing artifacts) may shift the delivery schedule accordingly. Work requested outside the agreed scope is not included and will be quoted separately before it is performed.
10. Launch Bundle
The Launch Bundle (EUR 1,990 net for the first year) combines a Professional Annual Licence with the Implementation Sprint described in Section 8. After the first year, the Launch Bundle renews as a standard Professional Annual Licence at EUR 990 net per year (subject to Section 6), unless otherwise agreed in writing. The Implementation Sprint component is a one-time service and does not recur.
11. Support
11.1 Support Levels
- Professional: e-mail support with a first response within 2 business days.
- Enterprise: priority support with a first response within 1 business day.
- Enterprise Plus: a dedicated support channel.
11.2 Scope of Support
Response-time commitments are first-response times, not resolution times. Support covers the use and operation of veriCue itself; it does not include debugging Your entire application, general Qt consulting, or writing Your test suites. Custom development and services beyond support are quoted separately.
12. Fees and Payment
Fees are stated in the Order Form and, unless otherwise stated there, are payable in advance and non-refundable except as set out in Section 6.4 or as required by applicable law. Invoices are payable within the period stated on the invoice. We reserve the right to suspend or terminate Your Licence if fees remain unpaid past the due date after notice.
13. Use of the Website
You agree not to:
- use the Website in any way that could damage, disable, overburden, or impair it;
- attempt to gain unauthorised access to any part of the Website or any system or network connected to the Website;
- use any automated means (e.g. scrapers, bots) to access or extract data from the Website without Our prior written consent;
- submit any false or misleading information through forms on the Website.
14. Privacy
Your use of the Service is also governed by Our Privacy Policy, which describes how We collect, use, and protect Your personal data.
15. Intellectual Property
All content on the Website, including text, graphics, logos, icons, images, and software, is the property of the Company or its licensors and is protected by intellectual property laws. You may not use, reproduce, modify, or distribute any such content without Our prior written consent, except for fair use as permitted by applicable law.
The "veriCue" name and logo are trademarks of the Company. You may not use them without Our prior written permission.
16. Disclaimer of Warranties
The Service and Software are provided "AS IS" and "AS AVAILABLE", without any warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation.
We do not warrant that the Service or Software will be error-free, secure, or uninterrupted, or that defects will be corrected.
17. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with Your use of the Service or Software, even if We have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms shall not exceed the fees You have paid to Us in the twelve (12) months preceding the event giving rise to the claim, or €100, whichever is greater.
Nothing in these Terms shall exclude or limit Our liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.
18. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the Service or Software;
- Your violation of these Terms;
- Your violation of any rights of a third party.
19. Termination
We may suspend or terminate Your access to the Service or Your Licence if You materially breach these Terms (including the licence restrictions in Section 4.4 or non-payment under Section 12) and, where the breach is curable, fail to cure it within a reasonable period after notice. Upon termination for breach, Your right to use the Software ceases immediately, and You shall stop using the Software and destroy all copies in Your possession. Termination for breach does not entitle You to a refund. Expiry of the Licence Period without renewal is governed by Section 6 and is not a termination for breach; in that case You retain Your previously generated test code as described in Section 6.3.
Sections that by their nature should survive termination (including but not limited to ownership provisions, disclaimers, indemnity, and limitations of liability) shall survive termination.
20. Changes to the Terms
We reserve the right to modify these Terms at any time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Service after the changes become effective constitutes Your acceptance of the new Terms. If You do not agree with the changes, You must stop using the Service.
21. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Poland, without regard to its conflict of laws rules. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts competent for Our registered office in Gdańsk, Poland.
If You are a consumer within the meaning of applicable European Union law, this clause does not deprive You of the protection of mandatory provisions of the law of the country where You habitually reside.
22. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any separate Licence or Order Form, constitute the entire agreement between You and Us regarding the Service and supersede any prior agreements. In case of conflict, the Order Form prevails over these Terms for the matters it covers.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer Your rights or obligations under these Terms without Our prior written consent. We may assign Our rights and obligations to any party at any time.
